FRIENDS REFERRAL PROGRAM TERMS AND CONDITIONS

Gardens To Go™ by PLANZAR™ — Van Heuten LLC

These Friends Referral Program Terms & Conditions (“Terms”) govern participation in the Gardens To Go™ by PLANZAR™ Friends Referral Program (“Program”). By participating in the Program, you (“Participant”) agree to be bound by these Terms. Gardens To Go™ and PLANZAR™ are trademarks of Van Heuten LLC (“Company”).

1. Program Purpose

The Program allows Participants to refer friends, family, neighbors, and acquaintances to Gardens To Go™ and receive a referral reward when a qualifying purchase is made. The Program is intended for personal, non‑commercial referrals and is not designed for influencers, businesses, or professional promoters.

2. Eligibility

The Program is open to individuals who are at least eighteen years of age. Businesses, influencers, and professional marketers must apply to the Affiliate Program or Professional Partner Program instead. The Company may request verification of identity or eligibility at any time.

3. Referral Process

Participants may share Gardens To Go™ with friends through personal communication, including conversations, messages, or direct sharing of referral links. When a referred individual makes a qualifying purchase, the referral is recorded and verified by the Company.

4. Referral Reward

Participants receive a reward equal to ten percent of the referred customer’s qualifying purchase amount. Rewards may be issued as credits, discounts, or other benefits as determined by the Company. Rewards have no cash value unless explicitly stated and may not be transferred, exchanged, or redeemed outside the terms of the Program.

Rewards are issued only after the referred purchase is confirmed, paid in full, and not refunded. The Company may adjust reward structures with notice.

5. Prohibited Conduct

Participants may not use paid advertising, misleading claims, spam, mass messaging, or unauthorized brand assets. Participants may not misrepresent Gardens To Go™, create false referrals, or attempt to manipulate referral tracking. The Program is intended for genuine, personal recommendations only.

6. Brand Integrity

Participants must represent Gardens To Go™ accurately and respectfully. The Company may request removal or correction of any content or communication that misrepresents the brand or violates these Terms.

7. Independent Status

Participants are not employees, agents, or representatives of the Company. Participation in the Program does not create any partnership, joint venture, or employment relationship. Participants are responsible for any tax obligations associated with rewards.

8. Termination

The Company may suspend or terminate a Participant’s involvement in the Program at any time for violations of these Terms, misuse of the Program, fraudulent activity, or conduct that harms the brand or customer trust. Upon termination, the Participant must cease all use of referral links and Program materials.

9. Modifications

The Company may update these Terms at any time. Continued participation constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the State of New York.
